Terms of Service

These Terms of Service ("Terms") govern your use of the 3D Transcript service ("Service") operated by Exoteric LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

3D Transcript is a web-based service that processes video files to produce enhanced transcripts. The Service uses artificial intelligence to transcribe spoken audio and generate descriptive context from video content. Transcripts may be downloaded in various formats.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload content that you do not own or have the right to process.
• Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Upload content that contains child exploitation material of any kind.
• Attempt to reverse-engineer, decompile, or extract the underlying technology, processes, or methods used by the Service.
• Use the Service to develop a competing product or service.
• Interfere with or disrupt the Service or servers connected to the Service.
• Attempt to gain unauthorized access to any part of the Service.
• Use automated systems (bots, scrapers, etc.) to access the Service without our written permission.

4. Your Content

You retain all ownership rights to the video files you upload and the transcripts generated from them ("Your Content"). We do not claim ownership of Your Content.

By uploading a video, you grant us a limited, temporary license to process, store, and transmit your video file solely for the purpose of providing the Service to you. This license ends when your content is deleted from our systems.

You are solely responsible for ensuring you have the necessary rights and permissions to upload and process any video content through the Service.

5. Transcript Accuracy

Transcripts produced by the Service are generated using artificial intelligence and may contain errors, inaccuracies, or omissions. The Service provides two output modes:

• Narrative Transcription — designed to preserve spoken words with high accuracy while adding contextual descriptions. While we strive for accuracy, transcripts should be reviewed before use in any official, legal, or medical capacity.
• Novelization — a creative adaptation that may alter, paraphrase, or embellish the original content for narrative effect. Novelization output is clearly labeled as an adaptation and should not be treated as a verbatim record.

We do not guarantee the accuracy, completeness, or reliability of any transcript. You are responsible for reviewing and verifying all output before use.

6. Data Storage and Retention

Uploaded video files and generated transcripts are stored on secure cloud infrastructure. We retain your uploaded content for the purpose of providing the Service. You may request deletion of your content at any time by contacting us. We will process deletion requests within 30 days.

We reserve the right to delete uploaded content that has been inactive for more than 90 days without prior notice.

7. Payment and Pricing

During the current beta period, the Service may be offered free of charge to selected users. We reserve the right to introduce paid plans, change pricing, or modify feature availability at any time. We will provide reasonable notice of any material pricing changes.

8. Intellectual Property

The Service, including its design, features, underlying technology, branding, and all associated intellectual property, is owned by Exoteric LLC and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXOTERIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Exoteric LLC from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Modifications

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without prior notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Sacramento County, California.
